Degroux Brugère advised Capital Croissance, an entrepreneurial club for small and medium-sized growth companies, in a secondary MBO, allowing Filab, an analytical laboratory specialized in organic and inorganic chemistry as well as in materials characterization, to welcome the family-owned k2 business club of Capital Croissance as a shareholder.
This independent French laboratory, which has gradually built up a unique position as a multi-specialist of intermediate size, intends to consolidate its position in France by supporting the growing demand of its existing customers and accelerating its commercial conquest, but also to expand its activity internationally, while maintaining its standards in terms of value-added services.
Through this transaction, Capital Croissance becomes the majority shareholder and the company's management significantly increases its stake; UI Investissement and MACSF, which have been supporting the Group since 2019, reinvest part of their shares.
The financing of this capital reorganization is carried out by a senior debt arranged by the Caisse Régionale de Crédit Agricole Mutuel de Champagne-Bourgogne and by a mezzanine debt provided by Bpifrance Investissement.
